1. Introduction
These Terms and Conditions ("Terms") govern your use of the Onvlee Engineering website at www.onvleeengineering.co.za ("the Website") and any products or services purchased from or contracted with Onvlee Engineering (Pty) Ltd ("Onvlee", "we", "us", or "our").
By accessing the Website, submitting a quote request, placing an order, or entering into a supply or manufacturing agreement with Onvlee, you ("the Client", "you") agree to be bound by these Terms. If you do not agree, do not use the Website or engage our services.
These Terms are governed by the laws of the Republic of South Africa and comply with applicable legislation including the Consumer Protection Act 68 of 2008 ("CPA"), the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"), and the Protection of Personal Information Act 4 of 2013 ("POPIA").
2. Scope of Business
Onvlee Engineering provides two categories of products and services:
2.1 Solar Infrastructure Products The supply of locally manufactured aluminium solar cable trays, walkway systems, and associated hardware for commercial and utility-scale solar installations.
2.2 Industrial Manufacturing Services High-volume metal stamping and precision CNC machining services for OEMs, industrial contractors, and infrastructure clients under production contracts.
These Terms apply to both categories unless a specific section states otherwise. Where a separate written supply or production agreement exists between Onvlee and the Client, that agreement takes precedence over these Terms in the event of a conflict.
3. Quote Requests and Orders
3.1 Submitting a quote request through the Website does not constitute a binding order or a guarantee of supply. It is an invitation for Onvlee to provide pricing based on the information submitted.
3.2 A formal quote issued by Onvlee remains valid for [X] calendar days from the date of issue unless otherwise stated in writing.
3.3 An order is confirmed only when the Client provides written acceptance of the quote and Onvlee issues a written order confirmation. No verbal agreements will be binding.
3.4 Onvlee reserves the right to decline any order at its discretion, including where stock is unavailable, specifications are incomplete, or the enquiry falls outside Onvlee's current production scope.
3.5 Clients are responsible for ensuring that the specifications, quantities, and delivery details submitted in a quote request are accurate. Onvlee will not be liable for errors arising from incorrect information provided by the Client.
4. Pricing and Payment
4.1 All prices quoted are in South African Rand (ZAR) and exclude VAT unless expressly stated otherwise. VAT will be charged at the applicable rate.
4.2 Prices are based on the specifications provided at the time of quotation. Any changes to specifications, quantities, or delivery requirements after order confirmation may result in a revised quote.
4.3 Payment terms are as specified in the accepted quote or production agreement. Unless otherwise agreed in writing, the standard payment terms are:
- Solar Products: [X]% deposit on order confirmation, balance due prior to dispatch.
- Manufacturing Services: [X]% deposit on order confirmation, balance due on completion or as agreed in the production contract.
4.4 Onvlee reserves the right to withhold dispatch or production until payment obligations have been met.
4.5 Late payments may attract interest at the rate prescribed under the National Credit Act or as agreed in writing, whichever is applicable.
5. Delivery
5.1 Onvlee will use reasonable efforts to deliver within the lead time specified in the order confirmation. Delivery dates are estimates and are not guaranteed unless expressly confirmed in writing as fixed dates.
5.2 Risk of loss or damage passes to the Client upon delivery to the agreed delivery address or upon collection by the Client or its nominated courier, whichever occurs first.
5.3 Onvlee delivers across South Africa. Delivery costs, where applicable, will be specified in the quote. International delivery is subject to separate agreement.
5.4 The Client must inspect all goods upon delivery and report any shortages, visible damage, or discrepancies to Onvlee in writing within [X] business days of receipt. Claims raised after this period may not be accepted.
5.5 Onvlee is not liable for delays caused by circumstances beyond its reasonable control, including but not limited to supplier delays, load shedding, natural disasters, labour disruptions, or transport network failures.
6. Returns, Defects and Warranties
6.1 Onvlee warrants that all products are manufactured to the specifications agreed at the time of order and are free from material defects in workmanship for a period of [X] months from the date of delivery ("Warranty Period").
6.2 This warranty does not cover:
- Damage resulting from improper installation, misuse, or failure to follow Onvlee's product guidelines
- Normal wear and tear
- Damage caused by environmental conditions beyond the product's rated specification
- Modifications made to the product by any party other than Onvlee
6.3 To make a warranty claim, the Client must notify Onvlee in writing within the Warranty Period, providing a description of the defect and photographic evidence where possible. Onvlee will assess the claim and, at its discretion, repair, replace, or issue credit for the affected goods.
6.4 Returns of non-defective goods are not accepted unless agreed in writing by Onvlee prior to return. Where a return is accepted, a restocking fee of [X]% may apply.
6.5 For manufacturing services, Onvlee warrants that components will conform to the agreed technical specification and tolerance requirements. The Client is responsible for supplying accurate drawings and specifications. Onvlee will not be liable for non-conformance arising from errors in Client-supplied specifications.
7. Intellectual Property
7.1 All drawings, designs, specifications, and tooling developed by Onvlee in the course of a manufacturing engagement remain the intellectual property of Onvlee unless otherwise agreed in writing.
7.2 Where the Client supplies drawings or designs for manufacturing, the Client warrants that it has the right to use and share those materials and indemnifies Onvlee against any third-party intellectual property claims arising from their use.
7.3 All content on the Website — including text, images, product photography, brochures, and design assets — is the property of Onvlee Engineering (Pty) Ltd and may not be reproduced, copied, or distributed without prior written consent.
8. Limitation of Liability
8.1 To the maximum extent permitted by South African law, Onvlee's total liability to the Client for any claim arising out of or in connection with a supply or manufacturing agreement shall not exceed the total value paid by the Client for the specific order to which the claim relates.
8.2 Onvlee shall not be liable for any indirect, consequential, or special loss including loss of profit, loss of contract, loss of production, or reputational damage, whether arising in contract, delict, or otherwise.
8.3 Nothing in these Terms limits liability for gross negligence, fraud, or any liability that cannot be excluded under the Consumer Protection Act or other applicable South African law.
9. Confidentiality
9.1 Both parties agree to treat as confidential any proprietary information, pricing, technical specifications, or business information disclosed in the course of an engagement.
9.2 This obligation does not apply to information that is publicly available, was already known to the receiving party, or is required to be disclosed by law or a court order.
10. Website Use
10.1 You may use the Website for lawful purposes only. You may not use the Website to transmit harmful, misleading, or unlawful content.
10.2 Onvlee makes reasonable efforts to keep the Website accurate and up to date but does not warrant that all content is current, complete, or error-free. Product availability, pricing, and specifications on the Website are indicative only and are confirmed in a formal quote.
10.3 Onvlee is not liable for any loss arising from reliance on Website content, including indicative pricing or product descriptions, prior to a formal quote being issued and accepted.
11. Privacy and Personal Information
Onvlee collects and processes personal information in accordance with its Privacy Policy, available at www.onvleeengineering.co.za/privacy-policy, and in compliance with the Protection of Personal Information Act 4 of 2013 (POPIA). By submitting a quote request or contact form, you consent to the processing of your personal information for the purposes described in the Privacy Policy.
12. Dispute Resolution
12.1 In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this by providing written notice of the dispute to the other.
12.2 If the dispute is not resolved within [X] business days of written notice, either party may refer the matter to mediation before pursuing litigation.
12.3 These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings shall be instituted in the appropriate South African court having jurisdiction.
13. Amendments
Onvlee reserves the right to update or amend these Terms at any time. The updated Terms will be published on the Website with a revised "Last updated" date. Continued use of the Website or engagement with Onvlee after an update constitutes acceptance of the revised Terms.
